We take our responsibilities under applicable privacy laws seriously and are committed to safeguarding your personal data. This policy explains how we collect, use, disclose and protect information when you access our website and services.
By using our platform, you consent to our processing of your information as set out in this policy. Processing includes collecting, storing, deleting, using, combining and disclosing information.
Who We Are
We provide inventory, human resources, financial management, customer management and staff management solutions for wholesalers. This policy applies when you create a profile, manage your business and interact with our services.
Information Collection
We collect data through direct interactions when you complete forms, create an account, subscribe, contact support, participate in surveys or provide feedback. We may also receive data from financial institutions, public sources and third-party dispute-resolution or service providers where necessary to meet legal obligations or provide our services.
Information We Collect
- Account credentials, including business name, email address and encrypted passwords.
- Business and customer profile data, including names, addresses, phone numbers, websites, email addresses and company logos.
- Financial information, bank account details and transaction history.
- BVN or NIN for business owners where required to create virtual accounts and comply with CBN regulations.
- Inventory data, bulk-upload files, product names, stock levels and low-stock thresholds.
- Staff and customer names, roles and contact details.
- Credit limits, balances, payment history, discounts, promotions and transaction statuses.
- Order, logistics and delivery metadata, and OTP verification data.
How We Use Your Information
- Manage accounts and distinguish between multiple business profiles.
- Send inventory alerts, delivery reminders, confirmations, security notices and administrative messages.
- Manage returns, purchases, credit availability and commercial relationships.
- Improve bulk uploads, delisting, reporting and other platform experiences.
- Verify identities, prevent fraud, enforce our terms and comply with legal obligations.
Disclosure of Personal Data
We may disclose personal data where required to perform our services, enforce contracts, protect security, comply with law or respond to regulators, courts and law-enforcement bodies. We may share data with banks, payment processors, analytics, email, advertising and data-processing providers acting on our behalf. These providers are expected to protect the confidentiality, integrity and security of the information shared with them.
Retention of Data
We retain personal data only for as long as necessary for the purpose for which it was collected or as required by law. When no legitimate need remains, data will be deleted or de-identified. We may retain it longer to meet statutory or legal requirements, honour contact preferences, or use aggregated data that no longer identifies you.
Data Security
We apply access controls, regular security reviews and industry-standard measures to protect data against loss, misuse, unauthorised access, disclosure, alteration or destruction. Passwords are encrypted, OTP verification protects account access, and uploaded documents are stored securely.
Regulatory Compliance and Data Breach
We process personal data in accordance with applicable laws, including the Nigeria Data Protection Act, NDPR, GDPR and relevant Nigerian KYC, AML and financial regulations. If a breach creates a reasonable risk of harm, we will investigate, cooperate with authorities and make reasonable efforts to notify affected individuals.
User Control, Staff Privacy and Your Rights
- Access, correct, update or request a copy of your personal data.
- Object to or restrict processing, withdraw consent, request erasure or portability, and lodge a complaint with the relevant authority.
- Delist inventory products or close your profile, subject to legally required retention of transaction and accounting records.
- Ensure that staff data uploaded to a Business Profile is processed with the employee’s required consent under the NDPA.
Children, Disclaimer and Changes
The Platform is not intended for anyone under 18, and we do not knowingly collect children’s data without lawful parental consent. You remain responsible for keeping account credentials confidential. We may update this policy periodically and will post a revised effective date and communicate material changes through the website or email where appropriate.

Introduction and Acceptance of Terms
These Terms of Use form an agreement between you and Kiptaab and govern access to the Kiptaab website, platform and related services. By accessing the Platform, registering for an account or inputting identifiers, you confirm that you have read, understood and agreed to be legally bound by these Terms.
If you register for a business, you represent that you have authority to bind that entity. We may update these Terms and publish a new version on the site. If you do not agree, you must discontinue use of the Services.
Definitions
- User means an individual who accesses or uses the Platform; a Verified User has completed required KYC verification.
- KYC means Know Your Customer identity verification.
- Services means all functionality offered through the Platform.
- Third-party Service means services, content, data or products supplied by another provider.
- Low-stock alert means a notification that inventory has reached a predetermined minimum.
- You means the individual or legal entity accessing the Services; Site means the website for the Services.
Service and Eligibility
Kiptaab provides inventory, HR, financial, customer and staff management solutions for wholesalers.
- You must be at least 18 and legally capable of entering a binding agreement.
- Registration information must be accurate and complete.
- Required identity-verification procedures must be completed.
- We may suspend or terminate accounts that fail verification or provide false information.
Account Creation and Verification
You must provide requested personal information, create secure credentials or use an approved authentication provider, and expressly accept these Terms and the Privacy Policy. Email and OTP verification may be required. You are responsible for maintaining credential confidentiality. We may request additional documents or reject suspicious or incomplete submissions.
Platform Services and Staff Management
The Platform supports product inventory, returns, financial management, customers, staff and rewards. Business administrators must keep staff names, addresses, roles and branch assignments accurate, revoke access when employment changes and audit staff activity. You are responsible for actions taken with permissions you grant; Kiptaab is not liable for internal staff fraud, data theft or inventory manipulation.
Inventory and Multi-Branch Data
Staff must be assigned to the correct branch to preserve branch-level reporting. You are responsible for the accuracy of bulk uploads and other inventory data. Low-stock alerts are best-effort notifications and do not replace regular account monitoring. Delisting preserves historical records, while deletion may be permanent.
Payments, Settlement and Withdrawals
Each Business Profile chooses which payment methods it accepts. For cash transactions, Kiptaab acts only as a record-keeping ledger. Digital payments and virtual accounts are provided through licensed financial institutions and PSPs, whose terms also apply.
Business Profiles must provide a valid Nigerian settlement account. Kiptaab is not responsible for bank delays, downtime or incorrect account details. Transaction fees and applicable taxes will be disclosed before or when charged and may change over time.
Financial and Credit Management
Kiptaab provides software to record credit, balances and payback periods but is not a bank, lender, credit bureau, debt collector or financial adviser. Credit decisions and repayment agreements remain solely between sellers and buyers. Users must verify balances and process returns in accordance with their own policies and applicable law.
Orders and Logistics
The Platform facilitates delivery-date and location communication but does not provide logistics services. Kiptaab is not responsible for delayed or failed deliveries, damaged goods or disputes between sellers and buyers. Cancellation rights are governed by their own agreement.
Intellectual Property
The Platform, software, algorithms, interfaces, databases, graphics, trademarks, documentation and materials belong to Kiptaab or its licensors. Users receive a limited, non-exclusive, non-transferable and revocable licence to use the Platform as authorised.
- Do not copy, reproduce or redistribute Platform content.
- Do not reverse engineer or decompile software.
- Do not commercially exploit or create derivative works without written consent.
- You retain ownership of uploaded content while granting Kiptaab a licence to store, process, display, transmit and moderate it to operate and improve the Platform.
Warranty Disclaimer and Limitation of Liability
The Platform is provided “as is” and “as available” without warranties of merchantability, fitness, non-infringement, uninterrupted availability or error-free operation. To the fullest extent permitted by law, Kiptaab is not liable for indirect, consequential, special or punitive damages, loss of profit, revenue, data, goodwill or opportunity, third-party failures or circumstances beyond its reasonable control.
Aggregate liability will not exceed the amount paid by the User in the preceding 12 months. Nothing excludes liability for fraud, wilful misconduct or liability that cannot lawfully be excluded.
Indemnification
You agree to indemnify and hold harmless Kiptaab, its officers, employees, affiliates and agents from claims, losses and reasonable legal fees arising from breach of these Terms, false identification, misuse, illegal activity, fraud or infringement of third-party rights. This obligation survives account termination.
Third Parties, Suspension and Termination
Kiptaab does not control third-party websites or services and is not responsible for their content, policies or practices. We may suspend or terminate access for illegal activity, abusive or offensive content, exposure of another user’s credentials, security risks or other violations. A terminated user may not create another account under a false, borrowed or third-party name.
Assignment, Modifications and Notices
You may not sell, assign or transfer your right to use the Services without Kiptaab’s written consent. Kiptaab may assign this Agreement on notice. We may modify these Terms, and continued use after changes become effective means you accept the revised version. Notices may be delivered by email or another communicated method.
Dispute Resolution and Governing Law
Disputes not resolved through consultation within 14 days will be referred to a single arbitrator appointed by the parties under the Arbitration and Mediation Act 2023. These Terms and use of the Service are governed by the laws of the Federal Republic of Nigeria.
Privacy, Miscellaneous and Disclaimer
Use of the Service is also subject to the Privacy Policy. Parties should first attempt to resolve disagreements informally by contacting Kiptaab.
Kiptaab provides technology that helps users record and manage operational and credit information. It is not a financial institution, lender, broker or credit bureau and does not give financial, legal or investment advice. Agreements and transactions between users remain at their own risk.
